THIS PROMOTION IS ONLY OPEN TO THOSE WHO SIGN UP AT THE PROMOTION PAGE WWW.GRUENETEXAS.COM/GIVEAWAY AND WHO ARE LEGAL RESIDENTS OF THE UNITED STATES, EXCLUDING RHODE ISLAND, PUERTO RICO, GUAM AND OTHER U.S. TERRITORIES (“ENTRANT” OR “ENTRANTS”). ENTRANTS MUST BE 18 YEARS OLD OR OLDER TO BE ELIGIBLE.

By participating in this contest (this “Promotion”), Entrants acknowledge and agree to abide by these “Official Rules.” Any violation of these rules may result in disqualification at the Sponsor’s sole discretion. Sponsor’s decisions regarding the Promotion or the application or interpretation of these Official Rule are final and binding in all respects.

1. SPONSORSHIP AND ADMINISTRATION. This Promotion is sponsored and administered by MOLAK CORPORATION, 1601 HUNTER ROAD, NEW BRAUNFELS, TEXAS 78130 (the “Sponsor”).

2. PROMOTION PERIOD. This Promotion begins July 1, 2024 at 12:01 A.M. CST and ends on July 31, 2024 at 11:59 P.M. CST. (the “Promotion Period”) Online entries must be submitted by July 31, 2024 at 11:59 P.M. CST.

3. ELIGIBILITY. This Promotion is only open to those who sign up at the Promotion page www.gruenetexas.com/giveaway and who are legal residents of the United States, excluding Rhode Island, Puerto Rico, Guam and other U.S. territories (“Entrant” or “Entrants”). Entrants must be 18 years old or older to be eligible. Employees of Sponsor, their respective parents, subsidiaries, affiliated companies, franchisees and agents, and household or immediate family members (defined as parent, spouse, child, sibling, or grandparent) of any of the foregoing are NOT eligible to enter the Promotion. This Promotion is void outside of the United States and where prohibited by law.

4. HOW TO ENTER. Visit www.gruenetexas.com/giveaway during the Promotion Period and follow the instructions to complete and submit the survey and entry form. All Entrant information, including e-mail addresses, is subject to the Sponsor’s privacy policy. By entering the Promotion, Entrants opt to receive future communications from Sponsor and/or any promotional partners of Sponsor. Entries that are not complete or do not adhere to the rules or specifications may be disqualified at the sole discretion of Sponsor. Entrants may submit only one entry form and Entrant’s must provide all of the information requested. Entrants may not enter more than once by using multiple email addresses, identities or devices in an attempt to circumvent the rules. If Entrants use fraudulent methods or otherwise attempt to circumvent the rules your submission may be removed from eligibility at the sole discretion of Sponsor.

5. WINNER CRITERIA. There will be one (1) winner of the Gruene Summer Giveaway (a “Winner”). Participants acknowledge and agree that the Sponsor reserves the right to modify or adjust any of these Official Rules or Promotion procedures as necessary in its sole discretion.

6. WINNER SELECTION AND NOTIFICATION. The Winner will be selected from all eligible entries based on the criteria outlined by the Sponsor. Any potential Winner will be notified by email. If a potential Winner: (a) cannot be contacted; (b) does not respond within ten (10) days from the date of the first notification attempt by the Sponsor; (c) fails to return the affidavit and release as specified below in Section 10; (d) refuses the prize; and/or (e) the prize notification is returned as undeliverable, the potential Winner forfeits all rights to win the Promotion or receive the prize, and an alternate potential Winner may be selected. Upon contacting a potential Winner and verifying their eligibility and compliance with these rules, including publicity and liability releases and disclaimers, the individual will be declared the “Winner” of the Promotion.

7. PRIZE DESCRIPTION. There will be one (1) prize (“Prize”).

1. The Prize will consist of various gift cards and certificates provided by merchants in the New Braunfels and Gruene, Texas. (approximate retail value $593).

Other Prize Conditions: The actual value of the Prize may vary based on various factors, such as pricing differences. Each Winner is responsible for coordinating a meeting with the Sponsor’s marketing team to receive their Prize. The Winner is responsible for the costs of any products or services purchased from the merchants exceeding the value of the gift card awarded. Gift cards may be subject to certain other restrictions. Gift cards have no cash value and are governed by the terms of the gift card. The holder of a gift card will not be entitled to cash back for any remaining balance. Prizes are not transferable and cannot be resold for profit. Only one prize per household.

8. TAXES. All federal, state and/or local income and other taxes, if any, are the Winner’s sole responsibility.

9. ODDS OF WINNING. The odds of winning this Promotion depend on the number of eligible entries received and the predictions made by each Entrant.

10. NO PRIZE TRANSFER OR SUBMISSION. No Prize or any portion thereof is transferable or redeemable for cash. Any portion of the Prize that is not used is forfeited. No substitutions for a Prize will be made except by the Sponsor, in which case, a prize of equal or greater value will be substituted.

11. CONSENT AND RELEASE. By entering this Promotion, each Entrant releases, discharges, indemnifies and holds harmless the Sponsor and any other party associated with the development or administration of this Promotion, their parents, subsidiaries, affiliates, franchisees, franchise owners, owners of Sponsor, and each of their respective officers, directors, members, shareholders, employees, independent contractors, agents, representatives, successors and assigns (collectively, “Sponsor Entities”), as well as Facebook, Instagram, X (formerly Twitter), and any other social media platform on which the Promotion or these Official Rules are advertised or communicated (collectively “Social Media Entities”), from any and all liability whatsoever in connection with this Promotion, including, without limitation, legal claims, costs, injuries, losses or damages, demands or actions of any kind (including, without limitation, personal injuries, death, damage to, loss or destruction of property, rights of publicity or privacy, defamation, or portrayal in a false light) (collectively, “Claims”). Except where prohibited: (a) entry into this Promotion constitutes the consent of each Entrant, without further compensation, to use the Entrant’s name and contact information for editorial, advertising, marketing, publicity, and administrative purposes by Sponsor and/or others authorized by Sponsor; (b) acceptance of the Prize constitutes a release by any Winner of the Sponsor Entities of any and all Claims in connection with the administration of this Promotion and the use, misuse, or possession of any Prize; and (c) any potential Winner may be required to sign an affidavit of eligibility and a liability/publicity release. If required, fully executed affidavits and releases must be received by the Sponsor within thirty (30) days from the date that Sponsor first attempts to notify the potential Winner.

12. DISCLAIMERS. (a) The Sponsor is not responsible for entries that are lost, late, misdirected, incorrect, garbled, illegible, or incompletely received, for any reason, including by reason of hardware, software, browser, or network failure, malfunction, congestion, or incompatibility at the Sponsor’s servers or elsewhere. In the event of a dispute, entries will be deemed submitted by the authorized account holder of the e-mail address submitted at the time of entry. (b) The Sponsor, in its sole discretion, reserves the right to disqualify any Entrant tampering with the entry process or otherwise attempting to undermine the legitimate operation of the Promotion. Use of bots or other automated processes to enter the Promotion is prohibited and may result in disqualification at the sole discretion of Sponsor. (c) The Sponsor further reserves the right to cancel, terminate or modify the Promotion if it is not capable of completion as planned, including, without limitation, by reason of disruption or cancellation of the Tournament, infection by computer virus, bugs, tampering, unauthorized intervention, force majeure or technical failures of any sort. (d) Sponsor Entities are not responsible for errors in the administration or fulfillment of this Promotion, including without limitation mechanical, human, printing, distribution or production errors, and may modify or cancel this Promotion based upon such error at Sponsor’s sole discretion without liability. In no event will the Sponsor be responsible for awarding more than the number of prizes specified in these rules. (e) In the event this Promotion is cancelled or terminated, pursuant to subparagraph (c) or (d), the Sponsor, in its sole discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance for any or all of the prizes offered herein. (f) SPONSOR ENTITIES MAKE NO WARRANTIES, REPRESENTATIONS OR GUARANTEES, EXPRESS OR IMPLIED, IN FACT OR IN LAW, AS REGARDS THIS PROMOTION OR THE MERCHANTABILITY, QUALITY, OR FITNESS FOR A PARTICULAR PURPOSE REGARDING ANY PRIZE OR ANY COMPONENT OF ANY PRIZE. No substitution or compensation will be given for any portion of the prize that is not used. (g) Entrant acknowledges that this Promotion is in no way sponsored, endorsed, administered by or associated with any Social Media Entity.

13. APPLICABLE LAWS AND JURISDICTION. This Promotion is subject to all applicable federal, state, and local laws and regulations. If any court of law, having the jurisdiction to decide on this matter, rules that any provision of these Official Rules is invalid or unenforceable, then that provision will be removed from the Official Rules without affecting the rest of the Terms. The remaining provisions of these Official Rules will continue to be valid and enforceable. Issues concerning the construction, validity, interpretation, and enforceability of these Official Rules shall be governed by the laws of the State of Texas, without regard to any principles of conflict of laws. All disputes arising out of or connected with this Promotion will be resolved individually, and without resort to class action, exclusively by a state or federal court located in San Antonio, Texas. All Entrants and Winners expressly submit to the exclusive jurisdiction of said courts. All disputes arising out of or connected with this Promotion must be filed within one (1) year of the commencement of the Promotion Period. To the extent permitted by applicable law, all judgments or awards shall be limited to actual out-of-pocket damages (excluding attorneys’ fees) associated with participation in this Promotion and shall not include any indirect, punitive, incidental and/or consequential damages.
